All software downloaded from the Cornerstone Software, Inc. web site is licensed software. You must first carefully read the terms and conditions of the evaluation agreement below. Cornerstone Software, Inc. Software Evaluation Agreement

IMPORTANT - BEFORE DOWNLOADING ANY SOFTWARE FROM THE CORNERSTONE SOFTWARE INC. WEB SITE, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS EVALUATION AGREEMENT. BY DOWNLOADING THE SOFTWARE AND/OR USING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING PARTY TO THIS EVALUATION AGREEMENT. 1. CSI is willing to provide an evaluation copy of the CSI Product(s) ("Software") listed below including, object code, marketing literature and product documentation. This will allow the Customer to become familiar with the benefits of the Software for the possibility of acquiring a licensed copy.

2. The evaluation period will begin upon Company's receipt of the Software and will continue for 30 days. Evaluations beyond 30 days will reduce the warranty period should a license be purchased.

3. Company agrees to report to CSI any and all problems relating to the Software. However, Company recognizes that, because of the nature of the evaluation, CSI may desire not to repair or correct any problem and has no obligation to do so.

4. Company agrees not to use the evaluation copy in a production environment. Any use of the Software is at the sole risk and liability of Company. COMPANY RECOGNIZES THAT ALL ITEMS PROVIDED TO COMPANY HEREUNDER ARE DELIVERED "AS IS". NO WARRANTIES ARE GIVEN, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF FITNESS OR MERCHANTABILITY. IN NO EVENT WILL CSI BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY LIABILITY IN TORT INCURRED BY OR UNDER THIS AGREEMENT FOR EVALUATING THE CSI PRODUCTS.

5. Company recognizes that the evaluation copy of the Software will at all times remain the property of CSI, is confidential, and will not disclose any information to any third party without CSI's prior written permission.

6. Company agrees not to modify the Software, and agrees that upon termination of the evaluation period it will return to CSI the Software together with all documentation, unless otherwise agreed in writing by CSI. Company agrees that the Software will at all times remain the property of CSI throughout the evaluation period.

7. This Agreement may not be assigned by either party without the written consent of the other.

8. This Agreement sets forth the entire understanding between parties with respect to the matters set forth herein and supersedes all prior representations, understandings or agreements, whether written or oral, express or implied, with respect to this evaluation.

9. This Agreement is governed by the laws of the State of New Hampshire.

10. Company acknowledges prerequisites (detailed below) for Software selected for host, workstation, servers and clients as provided for by Cornerstone and that such is subject to change without notice.
